These terms govern your use of the Magnitude Intelligence OS. They are written to be read, not to be survived. Where a clause limits what you can expect from us, it says so plainly.

1. Who these terms are between
These terms are an agreement between Magnitude Intelligence ("we", "us") and the business subscribing to the Magnitude Intelligence OS ("you"). By subscribing, or by using the system under a subscription your business holds, you accept them.
If you are accepting these terms on behalf of a business, you confirm you are authorised to bind that business.
2. What we provide
The Magnitude Intelligence OS is software delivered over the internet. Depending on your plan it covers customers and orders, quotations and rate bank, drawings and specifications, BOMs, procurement, inventory, production, quality control, dispatch, installation, people, security and finance, together with agents that act inside the rules configured for your business.
We provide the software, the hosting and the guided setup described on your plan. We do not provide accounting, legal, tax or engineering advice, and nothing the system outputs is a substitute for professional judgment.
3. Your account and your people
Each plan includes a stated number of user seats. Additional seats are available at the monthly rate published for your plan. Seats are for named individuals — a single login shared across a shift is a breach of these terms and undermines the audit trail you are paying for.
You are responsible for who you give access to, what permissions you grant them, and for keeping credentials secure. Tell us promptly if you believe an account has been compromised.
4. Fees, GST and payment
Subscription fees are billed monthly in advance. All prices published in Indian rupees are exclusive of 18% GST, which is added at checkout. International pricing is billed in US dollars.
One-time fees — such as machine onboarding for Machine Studio — are payable before that work begins. Download credits are prepaid, and do not expire.
Payments are processed by our payment gateway. We do not receive or store your card details. If a payment fails, we will tell you before anything stops working.
5. Your data belongs to you
Everything you put into the system — orders, drawings, specifications, rates, BOMs, photographs, measurements, records of your people and your vendors — remains yours. We claim no ownership of it.
We use it to run the service for you, to keep it secure, and to support you when you ask. We do not sell it. We do not share it with other customers. We do not use one customer's commercial data to inform another customer's pricing.
You can export your data at any time while your subscription is active.
6. What happens if you stop paying
Your data is not held hostage. If a subscription lapses, the system stops creating new work — no order release, no purchase orders, no agent runs — but read access to your own history stays open, and safety-critical functions such as attendance and gate records keep working.
You can export at any time. We will give you reasonable notice before deleting anything, and we will never delete records you are legally required to retain without telling you first.
7. Agents, automation and human judgment
The system divides work deliberately. Language models interpret messy human input — conversations, documents, photographs, drawings. Deterministic code computes anything that must be exact: dimensions, quantities, costs, stock, tax and money. Humans decide matters of genuine risk, uncertainty and exception.
Every agent operates within a defined responsibility, approved inputs, permitted and restricted actions, approval thresholds, an audit trail, a human owner and an escalation path. You configure those thresholds. Where you set an agent to act without approval, you are accountable for the actions it takes within the limits you set.
8. Integrations with your other systems
The system is designed to sit above an ERP or accounting system rather than replace it. Where you connect one, the agents read and write over its interface using credentials you provide.
We are not responsible for the availability, accuracy or behaviour of third-party systems, or for changes they make to their interfaces.
9. Availability and support
We work to keep the service available continuously, but no internet service is free of interruption. Planned maintenance is scheduled outside Indian factory working hours wherever practical.

10. Acceptable use
You agree not to:
Attempt to breach, probe or circumvent the security of the system or another customer's data
Reverse-engineer the software, or extract the rate bank, BOM logic or post-processor libraries to build a competing product
Resell or sublicense access without our written agreement
Upload material you have no right to upload, or use the system to break the law
Use the system to store payment card data, or any data you are contractually barred from processing this way
11. Limits on our liability
The system helps you run a factory; it does not run it for you. Decisions about what to cut, what to buy, what to pay and what to ship remain yours, and you remain responsible for checking output that carries commercial or safety consequence.
To the extent permitted by law, our total liability for any claim arising out of these terms is limited to the fees you paid us in the twelve months before the claim arose. We are not liable for lost profit, lost production, wasted material or loss of business opportunity.
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud.
12. Ending the agreement
You may cancel at any time and the refund and cancellation policy explains exactly what that means for money already paid. We may suspend or end access if fees remain unpaid after notice, or if the acceptable-use clause is breached in a way that puts the service or another customer at risk.
13. Changes to these terms
We may update these terms as the product changes. If a change materially reduces your rights, we will tell subscribers by email before it takes effect. Continuing to use the service after that date means you accept the revised terms.
14. Governing law
These terms are governed by the laws of India, and the courts of competent jurisdiction in India will hear any dispute arising from them.
